Terms, without the legal fog

These Terms govern your use of Cedric (the "Service"). If you connect Cedric to Google, you authorise Cedric to access and act on your behalf within the permissions you grant.

Cedric is not endorsed by or affiliated with Google. Google is a trademark of Google LLC.

Plain English

You own your content. You control permissions. We provide software and guardrails to help you respond to reviews.

Third-party platforms

Google is outside our control. If they change access, some features may be limited.

AI-generated content

AI replies are suggestions only. You are responsible for content posted under your business profiles.

Safety first

Autopilot is optional. Approval workflows and escalation rules exist to reduce risk.

About Cedric

Cedric is an Australian business (ABN 63 217 095 546). References to "Cedric", "we", "us", or "our" in these Terms refer to the operator of the Cedric platform.

Who can use Cedric

You must be authorised to act for the business profile(s) you connect and to grant Cedric access. If you create user accounts for staff, you are responsible for their access and use.

  • Provide accurate account and business information.
  • Keep your login credentials secure.
  • Ensure staff use Cedric consistently with your internal policies.

What Cedric does (and does not do)

Cedric helps you monitor reviews, draft responses (including AI-generated suggestions), request new reviews from your customers, and (if enabled by you) publish replies through your connected accounts within the permissions you authorise.

Cedric is a tool, not a substitute for your judgment. You are responsible for responses posted under your business profile(s) and for the campaigns you send, including content generated by AI or posted via Autopilot.

Connection to Google

When you connect your Google Business Profile, you grant Cedric the permissions you approve via OAuth. We do not store your Google password.

Google is outside our control and may change, limit, suspend, or interrupt access. If that happens, some features may not work or may become unavailable.

AI-generated content

Cedric uses third-party AI providers (currently Anthropic's Claude) to generate review reply suggestions. By using AI features, you acknowledge and agree that:

  • AI-generated replies are machine-produced suggestions. They are not verified, endorsed, or guaranteed to be accurate, appropriate, or free from third-party intellectual property.
  • Cedric does not warrant that AI-generated content will be accurate, original, non-infringing, or suitable for any particular purpose.
  • Even in Autopilot mode, you bear ultimate responsibility for content posted under your business profiles. Cedric provides guardrails (escalation keywords, star thresholds, approval workflows) but these do not transfer responsibility.
  • AI features depend on third-party AI providers. If the provider becomes unavailable, certain features may be degraded or unavailable.

Autopilot, approvals, and guardrails

Cedric supports approval-first workflows and optional autopilot settings (for example, only auto-posting above a minimum star threshold).

  • Approval-first is designed to keep you in control by default.
  • If you enable autopilot, you are responsible for the settings you choose and the content posted as a result.
  • We recommend using escalation keywords and thresholds for safety.

Acceptable use

You agree not to misuse the Service. This includes:

  • Using Cedric to post unlawful, misleading, harassing, or discriminatory content.
  • Attempting to access accounts or data you are not authorised to access.
  • Interfering with the security or performance of the Service.
  • Using Cedric in a way that breaches third-party platform terms (e.g., Google policies).
  • Using review-request campaigns to email people without a lawful basis or required consent, or in breach of anti-spam laws (including the Spam Act 2003 (Cth), CAN-SPAM, CASL, and the GDPR/PECR).
  • Uploading contact lists you are not authorised to use, or failing to honour unsubscribe requests.
  • Engaging in review gating, selectively soliciting reviews only from customers likely to leave positive feedback, which violates Google's review policies and ACCC guidance on misleading reviews.

Review-request campaigns

Cedric can send review-request emails to contacts you provide. If you use campaigns, you are responsible for who you contact and the content you approve.

  • You confirm you have the right and any required consent to email each recipient, and that your campaigns comply with the anti-spam and privacy laws that apply to you and your recipients.
  • Campaign emails must accurately identify your business and include a working unsubscribe option. Cedric provides unsubscribe and suppression handling; you must not attempt to bypass it or re-contact people who have opted out.
  • You must not use campaigns to send unlawful, misleading, or harassing content, or to solicit reviews in a way that breaches a platform's policies (for example, review gating or incentivising reviews).

Campaigns are sent by email only today. You remain solely responsible for your campaigns — Cedric provides the tooling, not the legal basis for contacting your recipients.

Your content and data

You retain ownership of your business content. You grant us a limited licence to process your content and data solely to provide and improve the Service (for example: generating drafts, sending the campaigns you configure, maintaining logs, and showing reporting).

Data protection & your customers' data

Where you provide personal information to Cedric — including reviews synced from your connected platforms and contact lists used for campaigns — you are the data controller and Cedric is your processor. We process that information only to provide the Service, in line with our Privacy Policy and your instructions.

  • You confirm you have the right, and any consent required by law, to provide that personal information and to have us process it.
  • You are responsible for complying with the privacy and anti-spam laws that apply to you and your recipients.
  • We maintain technical and organisational security measures, restrict access on a least-privilege basis, and use only the sub-processors listed in our Privacy Policy.

If you require a separate Data Processing Addendum (for example, to meet GDPR Article 28), email privacy@trycedric.com and we will put one in place.

Intellectual property

Cedric owns all intellectual property rights in the Service, including the software, algorithms, user interface designs, branding, and documentation. Nothing in these Terms transfers ownership of Cedric's intellectual property to you.

You are granted a limited, non-exclusive, non-transferable licence to use the Service for the duration of your subscription, subject to these Terms.

Confidentiality

Each party may receive non-public information from the other. The receiving party will use it only as needed to perform under these Terms, protect it with reasonable care, and not disclose it except to personnel or sub-processors who need it and are bound by similar obligations.

This does not apply to information that is or becomes public through no fault of the receiving party, was independently developed, or is required to be disclosed by law (with notice to the other party where legally permitted).

Feedback

If you send us feedback, ideas, or suggestions about the Service, you grant us a perpetual, irrevocable, worldwide, royalty-free licence to use them to improve our products and services, with no obligation to you. We will not publicly identify you as the source without your permission.

Free trial

New accounts start with a 14-day free trial. During the trial:

  • The free trial runs for 14 days from signup.
  • A payment method is required to start, so nothing is interrupted when the trial ends. Cancel any time before it ends and you won't be charged.
  • At the end of the 14 days, your paid subscription begins automatically unless you have cancelled.
  • Your trial data is retained and available if you upgrade within 30 days of trial expiry.
  • One trial per business. We reserve the right to revoke trials used in breach of this policy.

Billing, cancellation, and refunds

Pricing and inclusions may vary by plan. If you are on a paid plan, you agree to pay the fees shown at checkout (or in your order form) and any applicable taxes.

  • You can cancel your subscription at any time via your dashboard settings or by emailing support@trycedric.com.
  • Cancellation takes effect at the end of your current billing period. You retain access until then.
  • We do not offer pro-rata refunds for partial billing periods, except where required by law.
  • We may update plans and pricing over time. If changes are material, we'll notify you at least 30 days in advance.

Nothing in these Terms excludes, restricts, or modifies consumer guarantee rights you may have under the Australian Consumer Law (Schedule 2 of the Competition and Consumer Act 2010).

Availability and support

We target 99.5% monthly uptime for paid plans, excluding scheduled maintenance and third-party platform outages. This is a target, not a guarantee.

The Service may occasionally be unavailable due to maintenance, provider outages, or third-party platform interruptions. Support channels and response targets may differ by plan.

Beta and early-access features

We may offer features labelled beta, preview, or early access. These are provided "as is", may change or be withdrawn at any time, and are excluded from any availability target or warranty to the maximum extent permitted by law.

We may also modify or discontinue features of the Service. For material changes to paid features, we will give reasonable notice.

Disclaimers

Cedric is provided on an "as is" basis. To the extent permitted by law, we do not guarantee that the Service will be error-free, uninterrupted, or that it will increase ratings or revenue.

You are responsible for ensuring your use of Cedric and any responses posted comply with applicable laws and third-party platform requirements.

Indemnification

Your indemnification of Cedric:

You agree to indemnify and hold harmless Cedric and its officers, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from:

  • Content posted via your connected profiles, including AI-generated replies you approved or allowed via Autopilot.
  • Campaigns you send, including your contact lists and your compliance with anti-spam and privacy laws.
  • Your misuse of the Service or violation of these Terms.
  • Your breach of third-party platform terms (e.g., Google's policies).
  • Any content or data you provide to the Service.

Our indemnification of you:

We will indemnify you against claims that the Service itself (excluding AI-generated outputs and user content) infringes a third party's intellectual property rights, provided you promptly notify us and give us reasonable control of the defence.

Limitation of liability

To the extent permitted by law, we are not liable for indirect or consequential loss (including lost profits, lost goodwill, or business interruption). Our total liability is limited to the amount you paid us for the Service in the previous 3 months (or the minimum amount required by law).

Nothing in these Terms limits non-excludable rights you have under Australian Consumer Law.

Suspension and termination

Suspension (temporary):

  • We may suspend your access for non-payment (with 7 days' prior notice), ongoing investigation, or to protect the security of the Service.
  • During suspension, your account and data are preserved. Access can be restored once the issue is resolved.

Termination (permanent):

  • You can stop using Cedric and close your account at any time by contacting us.
  • We may terminate your access immediately for material breach of these Terms, or for security or legal reasons.
  • Upon termination, your data will be deleted according to our data retention policy.

If you disconnect third-party access (e.g., revoke Google OAuth), Cedric may not be able to provide connected features, but your account remains active.

Force majeure

Neither party is liable for delays or failures in performance resulting from circumstances beyond its reasonable control, including but not limited to: natural disasters, government actions, pandemic, internet or infrastructure outages, and changes to or outages of third-party platforms (such as Google, Anthropic, or hosting providers).

Export controls and sanctions

You must not use the Service in breach of applicable export-control or economic-sanctions laws. You confirm that you are not located in, ordinarily resident in, or acting on behalf of a person or country subject to sanctions that would make your use of the Service unlawful, and that you will not provide access to anyone who is.

Governing law and disputes

These Terms are governed by the laws of Victoria, Australia (unless your mandatory local laws apply). If a dispute arises, the parties agree to the following escalation process:

  • Written notice: the claiming party must provide written notice identifying the dispute.
  • Negotiation: a 30-day good faith negotiation period to attempt resolution.
  • Mediation: if negotiation fails, mediation administered by the Australian Disputes Centre (or equivalent body).
  • Courts: if mediation is unsuccessful, proceedings may be brought in the courts of Victoria, Australia.

Publicity

Unless you tell us otherwise, we may identify you as a Cedric customer using your business name and logo on our website and in marketing materials. If you'd prefer we didn't, email support@trycedric.com and we'll stop.

General provisions

  • Entire agreement: these Terms, together with our Privacy Policy and any order forms, constitute the entire agreement between you and Cedric regarding the Service.
  • Severability: if any provision of these Terms is found to be invalid or unenforceable, the remaining provisions continue in full force and effect.
  • Waiver: our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.

Notices

We give notices under these Terms by email to your account's registered address or by posting in the dashboard; you give us notice by emailing support@trycedric.com. Email notices are treated as received when sent, unless the sender is told delivery failed.

Survival

Sections that by their nature should survive termination — including Your content and data, Data protection, Intellectual property, Confidentiality, Feedback, Disclaimers, Indemnification, Limitation of liability, and Governing law and disputes — continue to apply after these Terms end.

Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of all or substantially all of our assets, provided the assignee agrees to be bound by these Terms.

Changes to these Terms

We may update these Terms from time to time. For material changes, we will notify the account holder by email at least 30 days before the changes take effect. Changes take effect at the start of the next billing cycle following the notice period.

Continued use of Cedric after the effective date constitutes acceptance of the updated Terms. If you do not agree to the changes, you may cancel your subscription before the effective date.
